Jackson Walker has advised a strategic joint venture between the incorporated and ACI licenses established to guarantee credit ease to support the acquisition of four eminent female lifestyles: Badgley Mischka, C & C California, Kay Unger and Rachel Roy. Our team represented ACG BORROWER, LLC in securing the installation – a crucial component of the joint venture – with the Huntington National Bank.
The JV has successfully acquired the full ownership of the Badgley Mischka, C&C California and Kay Unger brands, and a 71% stake in the Rachel Rachel Roy brand. Under the JV agreement, established will hold an interest of 51%, while ACI licenses will hold an interest of 49%. ACI licenses will also supervise the daily operations of the four brands. Established is supported by the sponsors Crosstimbers Capital and Ares Management, and Jackson Walker represented established and its affiliates in past transactions.
